This Partnership Agreement governs supplier participation in the ICone marketplace. By submitting an application and accepting these terms, the applicant company confirms it has read and agrees to the conditions below. Partnership approval occurs only after ICone Academy review.
1. Parties
On one side, ICone Academy ("ICone"), operator of the platform and marketplace. On the other, the applicant or approved partner company ("Partner"), a Brazilian legal entity identified by the registration data provided in the application.
2. Purpose
This agreement covers the Partner making products (ingredients and supplies) available on the ICone marketplace under platform rules for catalog, shopping experience, payments, and logistics, with the Partner acting as the fiscal seller of completed sales.
3. Catalog and governance
- ICone may approve, refuse, suspend, or remove offers, images, and copy to keep store quality, compliance, and consistency.
- The Partner is responsible for the accuracy of product information, composition, origin, shelf life, documentation, and applicable regulatory compliance.
- ICone may require presentation adjustments, reference price bounds, minimum stock, or complementary documentation.
4. Partner fiscal and commercial duties
- The Partner is the fiscal seller toward the buyer and is responsible for invoices (when applicable), taxes, accessory obligations, and commercial support for the order.
- The Partner must keep registration data, fiscal address, tax IDs, and contacts updated in the portal.
- Misleading use of the ICone brand, or use outside authorized communication guidelines, is not allowed.
5. Commission and payments
On each eligible sale, ICone may retain commission and operational amounts according to the rate informed at acceptance or later amendments. Payment split, payout timing, and refunds follow the gateway and marketplace rules in force at the time of sale.
6. Logistics, stock, and SLAs
- The Partner is responsible for stock, packaging, dispatch, and the shipping timelines it publishes.
- Freight quotes and labels integrated into the platform must be used in good faith and aligned with the real order.
- Delays, losses, and transport damage must be handled by the Partner with the carrier and buyer, without prejudice to ICone support when appropriate.
7. Portal access and security
After acceptance, ICone may create partner portal access and send credentials only to the contact email provided. The Partner must protect credentials, limit internal access, and report misuse immediately.
8. Confidentiality and data
- Commercial, operational, and buyer information obtained through the partnership is confidential and may only be used to perform this agreement.
- Personal data processing follows LGPD and ICone Privacy Policy.
- The Partner may not export or use the ICone customer base for purposes unrelated to order fulfillment.
9. Term, suspension, and termination
The partnership starts on ICone acceptance and continues while operations remain active. Either party may terminate with notice, and ICone may suspend or terminate immediately in cases of fraud, default, regulatory risk, material breach, or harm to buyers or the platform. Open orders must be completed or settled under operational guidance.
10. Governing law
This agreement is governed by the laws of Brazil. The courts of São Paulo/SP are elected, unless mandatory venue rules require otherwise.
11. Acceptance and application
Electronic acceptance on the ICone Partners page equals signature of this instrument for application purposes. ICone may request additional documents before final approval.
